SARK Promotions offers a range of digital marketing solutions, including but not limited to Search Engine Optimization (SEO), Generative Engine Optimization (GEO), Website Development, Social Media Management (SMM), Performance Marketing (PPC), and Content Creation. The specific scope, deliverables, and timelines for your project will be outlined in a separate Service Agreement or Proposal.

2. Client Responsibilities

To ensure the timely and successful delivery of our services, you agree to:

• Provide accurate, complete, and timely information required for your project.

• Grant necessary access to your digital assets (e.g., website CMS, Google Analytics, Google Ads, social media accounts) as required.

• Review and approve deliverables within the agreed-upon timeframes. Delays in client feedback may result in adjusted project timelines.

3. Payment Terms and Fees

• Billing: Fees for our services are outlined in your specific Service Agreement. Depending on the service, billing may occur on a one-time, milestone, or monthly retainer basis.

• Invoicing: Invoices are due upon receipt unless otherwise specified in your contract.

• Late Payments: SARK Promotions reserves the right to pause or suspend services, including ad campaigns and website hosting, if payments are delayed beyond the agreed terms.

4. No Guarantee of Specific Results (SEO & Marketing Disclaimer)

While SARK Promotions employs industry best practices, ethical white-hat SEO strategies, and data-driven advertising, we do not guarantee specific search engine rankings, traffic volumes, or sales numbers. Search engine algorithms (like Google’s) and social media platforms are controlled by third parties and change frequently. Our services are designed to optimize your digital presence for the best possible outcomes, but results are inherently subject to market and algorithmic fluctuations.

5. Intellectual Property Rights

• Client Materials: You retain all ownership rights to the logos, images, text, and trademarks you provide to us for use in your campaigns. You warrant that you have the legal right to use any materials supplied to us.

• Agency Deliverables: Upon full payment of all outstanding fees, the intellectual property rights for the final deliverables (e.g., custom website code, finalized ad creatives, written content) transfer to you.

• Agency Tools: SARK Promotions retains ownership of any proprietary tools, frameworks, scripts, or methodologies used to deliver our services.

6. Confidentiality

Both parties agree to keep all proprietary information, business strategies, pricing, and client data strictly confidential. We will not disclose your sensitive business information to third parties, except as required to perform our services or as mandated by law.

7. Limitation of Liability

To the fullest extent permitted by applicable law, SARK Promotions shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability in any matter related to our services shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

8. Term and Termination

• Termination by Client: You may terminate monthly retainer services by providing a 30-day written notice, unless a different term is specified in your Service Agreement.

• Termination by Agency: SARK Promotions reserves the right to terminate services immediately in the event of a breach of these Terms, non-payment, or unethical/abusive behavior. Upon termination, the client is responsible for payment for all work completed up to the termination date.

9. Third-Party Platforms

Our services heavily involve third-party platforms (e.g., Google, Meta, LinkedIn, Shopify). You agree to comply with the respective terms of service of these platforms. SARK Promotions is not responsible for any account suspensions, ad disapprovals, or bans initiated by these third-party entities.

10. Governing Law and Jurisdiction

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India. Any legal actions or proceedings shall be brought exclusively in the courts located in Gautam Buddha Nagar (Noida), Uttar Pradesh, India.
